# Terms & Conditions

These Terms & Conditions (these “Terms”) govern your access to and use of the websites, applications, and services of Household Real Estate LLC (“Household Real Estate,” “HRE,” “we,” “us,” or “our”), including:
– the website at householdrealestate.com (the “Site”);
– our real estate brokerage, designated-broker, and compliance services (the “Brokerage Services”); and
– our compliance and brokerage-operations platform available at [app.nationaldesignatedbroker.com] (the “Platform”).
Together, these are the “Services.” By accessing or using the Services, you agree to these Terms and to our Privacy Policy (householdrealestate.com/privacy-policy), which is incorporated by reference. If you do not agree, do not use the Services.
**Order of precedence.** If you or your organization has a signed written agreement with HRE — including a Services Agreement, Independent Contractor Agreement, Joinder, or similar contract (each a “Signed Agreement”) — the Signed Agreement controls over these Terms to the extent of any conflict. These Terms fill the gaps the Signed Agreements do not address.
## 1. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. Certain features are available only to licensed real estate professionals or authorized personnel of firms we serve; you represent that any license or professional status you claim is accurate and current.
You are responsible for your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms, present a security risk, or are used unlawfully.
## 2. The Platform and Client Firms
Portions of the Platform are provided to independent real estate firms and service providers that are our clients (each a “Client Firm”) and to their authorized users. If you use the Platform as personnel of a Client Firm, your access is also subject to that firm’s policies and its agreements with HRE, and the firm may control, review, and manage records associated with its operations. Roles, permissions, and visibility within the Platform are features of the Services and may be enforced automatically.
## 3. Consent to Electronic Records and Signatures
The Services include electronic delivery of records and electronic-signature functionality. By using the Services, you consent to receive records electronically and to the use of electronic signatures, which you agree have the same force and effect as handwritten signatures to the fullest extent permitted by law (including under the U.S. ESIGN Act and applicable state UETA statutes). You may withdraw this consent or request paper copies by contacting us, but doing so may limit or prevent use of features that depend on electronic records. You are responsible for maintaining a current email address and the ability to access electronic documents.
## 4. Acceptable Use
You agree not to:
– use the Services for any unlawful purpose or in violation of any law, regulation, or professional licensing requirement;
– misrepresent your identity, licensure, role, or authority;
– upload content you do not have the right to use, or content that is infringing, defamatory, or malicious (including viruses or harmful code);
– attempt to access accounts, records, or systems you are not authorized to access, or probe, disable, or circumvent security or access controls;
– scrape, harvest, or bulk-extract data from the Services, or use robots or automated means except through interfaces we provide for that purpose;
– interfere with the operation of the Services or impose an unreasonable load on our infrastructure; or
– resell, sublicense, or provide the Services to third parties except as expressly permitted by a Signed Agreement.
## 5. Your Content and Records
As between you and HRE, you (or the applicable Client Firm or transaction principal) retain ownership of the documents, data, and content submitted to the Services (“User Content”). You grant HRE a non-exclusive, worldwide license to host, store, process, transmit, display, and reproduce User Content as necessary to provide the Services, comply with law, and maintain required records. You are responsible for the accuracy and lawfulness of User Content you submit.
**Compliance records.** The Services create and preserve records required for real estate brokerage supervision and regulatory compliance — including transaction files, signature audit trails, activity logs, and sealed compliance packages. You acknowledge that certain records, once finalized or executed, cannot be altered or deleted, and that records are retained for statutory periods as described in our Privacy Policy, including after account closure.
## 6. Third-Party Services
The Services interoperate with third-party products — including transaction-management services (such as dotloop), electronic-signature providers, accounting software, and email services. Your use of a third-party service is governed by that provider’s own terms and policies. Connections you authorize may be revoked by you at any time. HRE is independent of these providers, does not control them, and is not responsible for their acts, omissions, availability, or data practices. dotloop is a registered trademark of DotLoop, LLC; other marks belong to their respective owners; no endorsement is implied.
## 7. AI-Assisted Features
Certain features use artificial-intelligence tools to process documents and data and to draft content for human review. AI output may contain errors and is provided to assist — not replace — the judgment of authorized users, who remain responsible for reviewing and approving any resulting action or document. AI features do not provide legal, tax, accounting, or investment advice.
## 8. Fees and Billing
Fees for the Platform and Brokerage Services are set by the applicable Signed Agreement, rate card, or order, and are invoiced as described there. Unless otherwise agreed: invoices are payable per their stated terms; usage-based charges (including AI-feature usage) are calculated from metered use; and disputed charges must be raised in good faith within a reasonable time of the invoice date. We may suspend Services for accounts with amounts materially past due, after notice.
## 9. Real Estate Disclosures and No Professional Advice
Content on the Site — including listings, valuations, estimates, market information, and educational material — is provided for general information, may be supplied by third parties, and is not guaranteed to be accurate, complete, or current. It is not legal, tax, financial, or investment advice, and it does not create an agency or client relationship. Real estate brokerage relationships with HRE are formed only through written agreements as required by applicable state law. HRE supports the principles of the Fair Housing Act and provides services without regard to race, color, religion, sex, disability, familial status, national origin, or any other protected characteristic. ## 10. Intellectual Property
The Services — including software, design, text, graphics, logos, and the BOPS and Household Real Estate names and marks — are owned by HRE or its licensors and protected by intellectual-property laws. Except for the limited right to use the Services as intended, no license is granted to you. If you send us feedback or suggestions, we may use them without restriction or obligation.
## 11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, HRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. INFORMATION OBTAINED THROUGH THE SERVICES, INCLUDING FROM CONNECTED THIRD-PARTY SERVICES, IS PROVIDED WITHOUT WARRANTY OF ACCURACY OR COMPLETENESS.
## 12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) HRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES; AND (B) HRE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID HRE FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE AND (ii) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply to the fullest extent permitted. Nothing in these Terms limits liability that cannot be limited by law, or the terms of any Signed Agreement that expressly provides otherwise.
## 13. Indemnification
You agree to indemnify and hold harmless HRE and its members, managers, officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Services in violation of these Terms, or your violation of law or the rights of a third party.
## 14. Termination
You may stop using the Services at any time; Client Firm relationships end as provided in the applicable Signed Agreement. We may suspend or terminate access for breach of these Terms, unlawful use, or risk to the Services or other users. Sections that by their nature should survive termination — including Sections 5 (records), 10–13, and 15 — survive.
## 15. Governing Law and Disputes
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles. Except where a Signed Agreement provides otherwise, the state and federal courts located in [COUNTY], Michigan will have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to venue there. YOU AND HRE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY CLAIM MUST BE BROUGHT INDIVIDUALLY AND NOT AS PART OF A CLASS OR REPRESENTATIVE ACTION.
## 16. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, additional notice through the Services. Continued use after changes take effect constitutes acceptance. If a change is unacceptable to you, your remedy is to stop using the Services.
## 17. General
These Terms, together with the Privacy Policy and any Signed Agreement, are the entire agreement between you and HRE regarding the Services. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
